The content of this website has been approved as a financial promotion by Falcon Investment Management Ltd, which is authorised and regulated by the Financial Conduct Authority (FCA Firm Reference Number 673552) and acts as the Alternative Investment Fund Manager (AIFM) for the Fund. Karl Finance LLP (OC435019) is the sponsor of the Fund and is not authorised or regulated by the FCA.

Professional Client Definition

Access to this website and the ability to invest directly in the Fund is restricted to persons who qualify as Professional Clients under FCA rules (COBS 3.5).

You qualify as a Professional Client if you are:

Per Se Professional Clients:

  • A regulated financial institution (including credit institutions, investment firms, insurance companies, collective investment schemes and their management companies, pension funds and their management companies)
  • A national or regional government, central bank, international or supranational institution
  • A large undertaking meeting at least two of the following criteria: 
    • Balance sheet total of at least €20 million
    • Net turnover of at least €40 million
    • Own funds of at least €2 million

Elective Professional Clients:

  • An individual or entity that has been assessed and categorised as a Professional Client by an FCA-authorised firm, having met at least two of the following criteria: 
    • You have carried out transactions of significant size in relevant markets at an average frequency of 10 transactions per quarter over the previous four quarters
    • Your portfolio of cash deposits and financial instruments exceeds €500,000
    • You work or have worked in the financial sector for at least one year in a professional position requiring knowledge of the investments contemplated

High Net Worth / Sophisticated Investor Definition

Access to this website is available to persons who qualify as High Net Worth Individuals, High Net Worth Companies or Entities, or Sophisticated Investors under the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005.

You qualify if you are:

High Net Worth Individuals (Article 48):

  • An individual with an annual income of at least £100,000 in the previous financial year, OR
  • An individual with net assets of at least £250,000 (excluding your primary residence, any rights under qualifying contracts of insurance, and any benefits payable on termination of service or death/retirement)

High Net Worth Companies or Entities (Article 49):

  • A company, unincorporated association, or partnership with net assets of at least £5 million (or part of a group with consolidated net assets of at least £5 million), OR
  • A trustee of a high-value trust with assets of at least £10 million

Sophisticated Investors (Article 50):

  • An individual who has been a member of a network or syndicate of business angels for at least six months in the past two years, OR
  • An individual who has made more than one investment in an unlisted company in the past two years, OR
  • An individual who is working, or has worked in the past two years, in a professional capacity in the private equity sector or in the provision of finance for small and medium enterprises, OR
  • An individual who is currently, or has been in the past two years, a director of a company with an annual turnover of at least £1 million

CRITICAL INVESTMENT RESTRICTION

IMPORTANT: High Net Worth and Sophisticated Investors can ONLY invest in The Amplitude Fund through an appropriately FCA-regulated intermediary, such as an authorised wealth manager, private bank, or discretionary fund manager. You cannot invest directly in the Fund.

This restriction exists because Falcon Investment Management Ltd's FCA permissions limit direct investment to Professional Clients only. However, with the Fund's ISIN registration, High Net Worth and Sophisticated Investors may access the Fund via a regulated intermediary who will conduct appropriate suitability assessments and ongoing oversight.
